Terms of Use (CGU)

1. Purpose

These Terms of Use (CGU) govern the use of the async-code.fr website and its associated services. Use of the site implies full and complete acceptance of these Terms.

2. Site access

The async-code.fr website is freely accessible to any user with Internet access. All costs related to site access (hardware, software, Internet connection) are borne by the user.

Async Code uses all reasonable means at its disposal to ensure quality access to the site, but is under no obligation to achieve this. The publisher cannot be held responsible for any network or server malfunction or any other event beyond reasonable control that would prevent or degrade site access.

3. Intellectual property

All content on the async-code.fr website (texts, images, graphics, logos, icons, videos, sounds, software) is the exclusive property of Async Code or its partners and is protected by French and international intellectual property laws.

Any reproduction, representation, modification, publication or adaptation of all or part of the site's elements, by any means or process, is prohibited without prior written authorization from Async Code.

4. Liability

Async Code cannot be held liable for direct and indirect damages caused to the user's equipment when accessing the async-code.fr website, resulting either from the use of equipment not meeting the indicated specifications, or from the appearance of a bug or incompatibility.

Async Code also cannot be held liable for indirect damages (such as loss of market or loss of opportunity) resulting from the use of the site.

It is possible to create a link to our site without express authorization from Async Code, provided that the link opens in a new window.

6. Applicable law and jurisdiction

These Terms are governed by French law. In the event of a dispute and failing an amicable agreement, the dispute will be brought before the French courts in accordance with applicable jurisdiction rules.

Terms of Sale (CGV)

1. Scope

These Terms of Sale (CGV) apply to all web and mobile development services offered by Async Code to its clients, whether professional or individual.

2. Services

Async Code offers the following services:

  • Web application development (showcase sites, e-commerce, complex web applications)
  • Mobile application development (iOS, Android, cross-platform)
  • Backend and API development
  • UI/UX design
  • DevOps and hosting services
  • Maintenance and technical support

3. Quote and order

All services are subject to a detailed preliminary quote, provided free of charge upon request. The quote is valid for 30 days from its issue date. The order becomes final only after acceptance of the quote by the client (signing the quote or written agreement by email) and payment of the deposit if applicable.

4. Pricing

Prices are indicated in euros and exclusive of tax (HT). Applicable VAT will be added at the time of invoicing in accordance with current legislation. Prices are firm and non-revisable for the duration of project execution, unless otherwise agreed in writing between the parties.

Payment terms: A 30% deposit is generally required upon order, 40% upon intermediate delivery, and the balance upon final delivery. Exact terms are specified in each quote.

5. Execution timelines

Execution timelines are indicated as estimates in the quote. Async Code endeavors to meet these timelines but cannot be held responsible for delays due to causes beyond its control (notably delays in client provision of materials, significant change requests).

6. Intellectual property

Async Code retains all intellectual property rights over developments until full payment of the price. Upon full payment, the client acquires usage rights for the source code developed specifically for their project.

Third-party components, frameworks and libraries used remain subject to their respective licenses.

7. Warranty and maintenance

Async Code guarantees compliant functioning of the development for a period of 30 days following delivery (warranty of proper functioning). This warranty does not cover modifications made by the client or third parties after delivery.

Maintenance contracts may be offered separately to ensure the sustainability and evolution of the developments.

8. Liability and limitations

Async Code's liability can only be engaged for proven faults or negligence and is limited to the amount actually received for the service concerned.

9. Termination

In the event of a serious breach by either party of its obligations, the other party may, after a formal notice remaining unanswered for 15 days, terminate the contract by operation of law.

10. Applicable law

These Terms of Sale are governed by French law. Any dispute shall fall under the exclusive jurisdiction of the courts of the registered office of Async Code.

Privacy Policy (GDPR)

GDPR compliance: Async Code is committed to protecting the privacy of its users and complying with the General Data Protection Regulation (GDPR) in force since May 25, 2018.

5. Retention period

Your personal data is retained for the period necessary for the purposes for which it was collected:

  • Contact and project data: duration of the business relationship + 3 years
  • Billing data: 10 years (legal accounting obligation)
  • Browsing data: 13 months maximum

6. Data recipients

Your personal data is intended solely for:

  • Async Code and its authorized staff
  • Our technical subcontractors (hosting, cloud services) bound by confidentiality obligations
  • Competent authorities in case of legal obligation

We do not sell or rent your personal data to third parties.

7. Transfer outside the EU

Some of our data may be hosted by providers located outside the European Union (notably Vercel in the United States). These transfers are governed by appropriate safeguards in accordance with the GDPR (standard contractual clauses approved by the European Commission).

8. Your rights

5. Source code and developments

For projects carried out for our clients, intellectual property rights are transferred to the client upon full payment, unless otherwise stated in the contract. Reusable components and know-how remain the property of Async Code.
